Listing Agreement

1. Overview

This Listing Agreement ("Agreement") governs the terms under which businesses may be listed on the ProsperScoop community directory at prosperscoop.net. By claiming or maintaining a listing, you agree to these terms.

ProsperScoop is a hyper-local business directory and community resource for Prosper, Texas. We're committed to helping residents discover local businesses while maintaining trust through accurate, current information.

2. Free Listings

Free Every business in Prosper is eligible for a free listing on ProsperScoop, featuring:

• Business name
• Category or industry
• Contact phone number
• Website URL

Sourcing and Updates

Free listings are initially sourced from public data, including the Prosper Chamber of Commerce, public records, and community submissions. Businesses can claim, verify, and update their own listing at any time by contacting us at hello@prosperscoop.net.

Accuracy and Removal

ProsperScoop reserves the right to review, edit, or remove listings that are inaccurate, outdated, or otherwise inappropriate. If you believe a listing is inaccurate, please reach out to us to request corrections.

3. Verified Listings ($25/month)

Verified Businesses can upgrade to a Verified Listing to unlock premium features and build trust with community members.

• Blue Checkmark Badge — A trust signal that you've verified your business information
• Expanded Profile — Hours of operation, detailed business description, and photo gallery
• Priority Placement — Your listing appears prominently in directory searches and category pages
• Review Responses — Respond directly to community reviews to showcase excellent customer service
• "Verified Local Business" Trust Signal — Demonstrates commitment to transparency and accuracy

Billing and Cancellation

Verified Listings are billed monthly at $25/month via Stripe. You have full control over your subscription:

• Billing cycles begin on the date you activate your subscription
• You may cancel at any time with 30-day notice
• Your Verified status ends at the conclusion of your current billing cycle
• No refunds are issued for partial months

4. Business Responsibilities

By maintaining a listing on ProsperScoop, you agree to:

• Keep Information Accurate — All listing information must be current and truthful. Update contact details, hours, and other information promptly.
• Maintain Your Listing — It's your responsibility to ensure your listing remains active and reflects your business accurately. Outdated or inactive listings may be reviewed or removed.
• Comply with Local Laws — Your business must be operating legally in Prosper and comply with all applicable local, state, and federal regulations.
• No Misleading Claims — You may not make false or exaggerated claims about your products, services, pricing, or qualifications. Marketing materials must be honest and compliant.
• Professional Conduct — Interactions with customers on your ProsperScoop listing should be professional and courteous at all times.

5. ProsperScoop Rights

ProsperScoop retains the right to:

• Modify Listing Display — We may adjust how listings are formatted, displayed, or organized to improve user experience and directory functionality.
• Remove Listings — Listings that violate this Agreement, contain false information, or are no longer active may be removed without liability.
• Update Pricing — The monthly cost of Verified Listings may increase with 30 days' written notice. You may cancel before the increase takes effect.
• Moderate Reviews — We reserve the right to remove, hide, or flag reviews that violate our community standards (spam, profanity, off-topic content, etc.).
• Manage the Directory — ProsperScoop has final authority over the directory's structure, category definitions, and overall curation.

6. Reviews and Ratings

Community reviews are a core part of ProsperScoop's mission to help Prosper residents make informed decisions.

How Reviews Work

Community members can leave star ratings and text reviews for your business. Reviews are displayed publicly on your listing and help build trust with potential customers.

Business Review Responses

Verified Listing holders only can respond to reviews. This allows you to address feedback, thank satisfied customers, and showcase your commitment to service. Review responses must be professional and constructive.

Review Moderation and Disputes

• No Pay-to-Remove Policy — Businesses cannot pay ProsperScoop to remove negative reviews. All reviews are subject to the same moderation standards.
• Spam and Abuse Moderation — ProsperScoop moderates reviews to remove spam, profanity, off-topic content, and obvious abuse.
• Dispute Resolution — ProsperScoop does not arbitrate disputes between businesses and reviewers. We moderate only for community standards compliance. If you believe a review violates these standards, please contact us.

7. Intellectual Property

Your Content: You retain all ownership rights to your business name, logo, photos, descriptions, and other content you provide or authorize for your listing. You grant ProsperScoop a non-exclusive license to display, reproduce, and distribute this content on the ProsperScoop directory and related services.

ProsperScoop Content: ProsperScoop owns all rights to the directory design, layout, functionality, branding, and compilation of listings. You may not copy, reproduce, or redistribute the ProsperScoop directory or any portion thereof without express written permission.

License Grant: By providing content for your listing, you represent that you own or have permission to use all materials, and that your use of the directory does not infringe on any third-party rights.

8. Termination

By You

Free Listings: You may request removal of your free listing at any time by contacting hello@prosperscoop.net.

Verified Listings: You may cancel your Verified subscription with 30 days' notice. Your Verified status and associated features will end at the conclusion of your current billing cycle.

By ProsperScoop

ProsperScoop may remove or suspend any listing that:

• Violates this Agreement
• Contains false or misleading information
• Engages in illegal activity or promotes harm
• Remains inactive or unverified for an extended period
• Violates community standards or ProsperScoop policies

We will make reasonable efforts to notify you before removal, except in cases of obvious abuse.

Effect of Termination

Upon termination, your listing will be removed from ProsperScoop. You will no longer have access to listing management tools. Any outstanding subscription fees are due in full.

9. Disclaimer

No Guarantee of Results: A listing on ProsperScoop does not guarantee leads, customer traffic, sales, or any particular business outcome. ProsperScoop is a directory service, and results depend on many factors beyond our control, including your business operations, marketing, and market conditions.

No Endorsement: Inclusion in the ProsperScoop directory does not constitute an endorsement by ProsperScoop. We maintain a neutral stance toward all listed businesses and do not recommend one business over another based on payment or listing tier.

As-Is Service: ProsperScoop is provided "as is." We make no warranties regarding accuracy, completeness, or fitness for a particular purpose. While we work to maintain accuracy, ProsperScoop does not guarantee that all information is correct or current.

Limitation of Liability: ProsperScoop's liability for any claim arising from this Agreement or your use of the directory is limited to the total amount you have paid for Verified Listings in the 12 months preceding the claim.
